REQUIREMENT TO FORM A PRIVATE COMPANY LIMITED BY SHARES AS FOLLOWS:

A minimum of two subscribers to the shares of the company

A minimum of two directors with local residential address

A company secretary

WHAT IS A COMPANY LIMITED BY SHARES?

A company having a share capital may be incorporated as a private company (identified through the words ‘Sendirian Berhad’ or ‘Sdn. Bhd.’ following their name) or public company (‘Berhad’ or ‘Bhd’ following their name).

A company limited by shares is defined as limited liability for members of the company to the amount of unpaid shares taken up (if any). Meanwhile for fully paid share members of the company, they do not require to contribute to the payment of the company’s debts if the company becomes insolvent.

INFORMATION NEEDED TO REGISTER A COMPANY

Photocopy of all Directors’ and shareholders’ NRIC or Passport

Latest Residential Address in Malaysia (if different from NRIC)

Proposed new name for the company, preferably with 3 options

Details of business activity of the new company

Information on Paid-up capital (min RM2)

Shareholding structure

Preferred bank name, branch, signatory details and mode of operation
